Privacy Policy: Provided in-app and at the public URL designated by the Company
These Terms and Conditions (“Terms”) govern your access to and use of CogniVenue-Legal, including the application, software binaries, websites, backend services, account services, AI-assisted features, OCR, document-processing tools, subscriptions, updates, support, and related services (“CogniVenue-Legal” or the “App”).
CogniVenue-Legal is owned, operated, marketed, sold, and/or made available by LEXICOGNI TECHNOLOGIES (OPC) PRIVATE LIMITED (“Company”, “we”, “us”, or “our”). The software, source code, object code, architecture, build materials, proprietary workflows, and other intellectual property in the App may be owned by the Company or by third-party developer/licensor(s) who have licensed distribution and commercialization rights to the Company. The Company, its directors, officers, employees, contractors, licensors, developers, suppliers, service providers, affiliates, successors, and permitted assigns are collectively referred to as the “Protected Parties.”
By clicking “I Agree,” creating an account, verifying your email address, installing, accessing, subscribing to, or using CogniVenue-Legal, you confirm that you have read, understood, and agreed to these Terms and the Privacy Policy. If you do not agree, do not register, verify your email, install, access, or use the App.
1. Eligibility and Account
You must be legally competent to enter into these Terms and at least 18 years old, or the age of majority in your jurisdiction, whichever is higher. You are responsible for the accuracy of your account information, the confidentiality of your credentials, the security of your devices, and all activity under your account.
We may require email verification before permitting access. We may refuse, suspend, or terminate access for suspected misuse, inaccurate information, non-payment, security risk, legal risk, violation of these Terms, or where required by law, court order, platform policy, or service-provider policy.
2. Nature of the App
CogniVenue-Legal is a legal productivity and document-assistance tool. It may assist with document import, review, reading, annotation, notes, source-linked excerpts, AI-assisted search, OCR, summarization, legal-document organization, timeline/fact/issue suggestions, audio features, backup, sync, import, export, and related workflows.
CogniVenue-Legal is not a law firm, advocate, attorney, legal practitioner, accountant, tax advisor, financial advisor, medical advisor, compliance advisor, forensic expert, or professional consultant. The App does not provide legal advice, legal opinions, legal representation, professional advice, or any guaranteed legal, evidentiary, procedural, commercial, or compliance outcome.
3. No Advocate-Client or Professional Relationship
Your use of CogniVenue-Legal does not create any advocate-client, lawyer-client, fiduciary, advisory, professional, or agency relationship between you and the Company or any Protected Party.
If you are an advocate, lawyer, law student, legal professional, business user, or consumer using the App for legal work, you remain solely responsible for applying your own professional judgment, checking court rules, limitation periods, filing dates, procedural requirements, client instructions, confidentiality duties, privilege obligations, and applicable law.
You must independently verify every document, note, citation, extracted text, AI-assisted output, OCR output, reminder, timeline, issue suggestion, exported file, and other result before relying on it or sharing it with a court, tribunal, authority, client, employer, colleague, or third party.
4. License; No Sale
Subject to your compliance with these Terms and payment of applicable fees, the Company grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use CogniVenue-Legal for your permitted personal, professional, internal business, or organizational use according to your plan.
CogniVenue-Legal is licensed, not sold. No ownership rights in the App, binaries, source code, architecture, design, workflows, models, prompts, documentation, branding, trademarks, databases, algorithms, or intellectual property are transferred to you. All rights not expressly granted are reserved by the Company and/or its licensors.
5. Intellectual Property and Licensor Rights
CogniVenue-Legal and all related software, binaries, source code, designs, workflows, interfaces, prompts, processing logic, documentation, names, logos, trademarks, databases, and intellectual property are owned by or licensed to the Company and/or its licensors.
You receive no rights except the limited license expressly granted in these Terms. Feedback, suggestions, bug reports, and feature ideas may be used by the Company and/or its licensors without restriction, attribution, or compensation, subject to applicable law.
The Company may make CogniVenue-Legal available under private software-ownership and distribution arrangements with one or more developer/licensor(s). Those arrangements do not give you any ownership, source-code access, or rights against any developer/licensor, except to the limited extent expressly stated in these Terms or required by applicable law.
6. Company/Licensor Arrangements and Change in Ownership
You acknowledge that continued availability of the App may depend on the Company’s continuing legal right to distribute and commercialize software owned by or licensed from developer/licensor(s). The Company’s private software licence or commercial arrangement with a developer/licensor may terminate automatically upon a change in the Company’s ownership, control, shareholding, management control, merger, acquisition, sale of business, insolvency event, or other ownership-transfer event.
If such a termination or ownership-change event affects the Company’s right or practical ability to operate CogniVenue-Legal, the Company may suspend, restrict, migrate, modify, wind down, or discontinue some or all App features, updates, support, cloud services, or distribution channels, subject to applicable law, mandatory consumer rights, and any platform rules that cannot be waived.
7. Restrictions
You must not copy, modify, reverse engineer, decompile, disassemble, translate, scrape, resell, sublicense, rent, lease, lend, host, commercially exploit, bypass controls, defeat authentication, circumvent subscription limits, tamper with security, access unauthorized data, interfere with infrastructure, or create competing products using the App or its design, features, workflows, outputs, or proprietary elements, except where applicable law expressly prohibits such restriction.
You must not use CogniVenue-Legal for unlawful, fraudulent, defamatory, infringing, abusive, malicious, privacy-violating, confidentiality-violating, evidence-tampering, deceptive, or high-risk purposes.
8. User Content
“User Content” includes documents, PDFs, scans, text, images, audio, notes, annotations, prompts, queries, metadata, outputs, exports, backups, and other material uploaded, created, imported, processed, transmitted, or stored through the App.
You retain ownership of your User Content. You grant the Company and its service providers a limited, worldwide, non-exclusive license to host, process, transmit, reproduce, analyze, transform, store, display, back up, restore, troubleshoot, secure, and otherwise use User Content as needed to provide, maintain, protect, and support CogniVenue-Legal, subject to the Privacy Policy and applicable law.
You are solely responsible for your User Content, including legality, rights, accuracy, confidentiality, privilege, sensitivity, backups, and compliance with court rules, employer policies, client duties, professional obligations, privacy laws, and applicable laws.
9. Confidential and Professional Materials
CogniVenue-Legal may be used with sensitive legal, professional, commercial, personal, privileged, or confidential material. You must decide whether the App is appropriate for each document and use case. You are responsible for obtaining any required permission before uploading, processing, storing, exporting, or sharing third-party, client, employee, consumer, or case-related material.
The Company does not promise that use of the App will satisfy any advocate-client privilege, professional secrecy, court confidentiality, evidence-preservation, data-localization, record-keeping, or regulatory requirement applicable to you.
10. AI, OCR, Search, and Output Limitations
CogniVenue-Legal may produce AI-assisted, OCR-generated, search-based, or automated outputs. Such outputs may be inaccurate, incomplete, misleading, outdated, biased, hallucinated, wrongly extracted, wrongly linked, wrongly classified, duplicated, corrupted, or unsuitable for your purpose.
The App does not guarantee legal correctness, completeness of research, accuracy of citations, admissibility of evidence, procedural compliance, preservation of metadata, correct OCR, correct summaries, correct timelines, correct issue spotting, or identification of all relevant material.
11. No Reliance; Deadlines and Case Outcomes
You alone are responsible for deciding whether CogniVenue-Legal is fit for your intended purpose. Any use of, reliance on, or decision based on the App is entirely at your own risk.
The Protected Parties are not responsible for any legal filing, advice, argument, deadline, limitation period, case strategy, settlement decision, compliance decision, business decision, financial decision, professional act, omission, client communication, evidentiary decision, court filing, case result, or other consequence arising from use of or reliance on the App.
Without limiting the above, the Protected Parties are not liable for missed court deadlines, limitation periods, filing dates, notification delays, calendar errors, sync issues, data corruption, wrong document extraction, incorrect AI/OCR/search outputs, adverse orders, dismissed claims, professional negligence claims, Bar Council complaints, loss of reputation, or loss of clients.
12. Data, Privacy, Security, and Local Storage
Use of CogniVenue-Legal is subject to the Privacy Policy. No software, network, cloud system, device, encryption method, backup system, sync system, authentication method, or transmission method is completely secure or error-free.
CogniVenue-Legal may operate through both Company-controlled infrastructure and user-controlled local device storage. “Company Infrastructure” means cloud servers, account systems, databases, and services controlled by or for the Company. “User Device Storage” means data stored on your tablet, phone, computer, local app storage, operating-system folders, device backups, exported files, downloaded files, removable storage, and any other location not controlled by the Company.
You are responsible for securing your devices, maintaining independent backups, using appropriate access controls, and ensuring you have authority before uploading confidential, privileged, personal, regulated, third-party, or sensitive content.
13. Account or Data Deletion
If you use an in-app “Delete Data,” “Delete Account,” or similar deletion control, the Company will delete or de-identify applicable account information and User Content stored on Company Infrastructure within a reasonable period, unless retention is required or permitted for legal compliance, tax/accounting, payment disputes, fraud prevention, security, backup cleanup cycles, dispute resolution, enforcement of rights, or other lawful purposes. We aim to complete ordinary cloud deletion requests within thirty (30) days where technically and legally feasible.
Cloud deletion does not delete User Device Storage. The App cannot guarantee deletion of local app data, local databases, local backups, exported PDFs, DOCX files, CSV files, images, audio recordings, downloaded files, device backups, screenshots, operating-system caches, removable-storage copies, or other files stored on your device or in locations controlled by you.
After requesting account or cloud-data deletion, you remain solely responsible for manually deleting local app data, device backups, exported outputs, downloaded files, and any other local copies from your tablet, phone, computer, cloud-drive account, removable storage, or other user-controlled location.
14. Third-Party Services
CogniVenue-Legal may rely on app stores, payment gateways, cloud providers, AI providers, OCR providers, email providers, analytics tools, crash-reporting tools, databases, operating systems, and other third-party services.
The Protected Parties are not responsible for third-party outages, data loss, policy changes, API changes, pricing changes, security incidents, app-store decisions, payment failures, refund decisions, operating-system limitations, model behavior, or acts or omissions of third parties.
15. Subscriptions, Payments, Refunds
CogniVenue-Legal may offer free, trial, paid, subscription, lifetime, promotional, add-on, or usage-limited plans. Features, prices, limits, storage, AI usage, device access, and availability may change.
Except where required by applicable law or mandatory platform policy, payments are non-refundable. Cancellation stops future renewal but does not automatically refund prior payments. “Lifetime” access, if offered, means the commercially reasonable life of the relevant product or service, not your lifetime or indefinite availability.
16. Updates and Discontinuation
We may update, modify, suspend, remove, replace, restrict, or discontinue any feature, version, platform, integration, plan, service, or support channel at any time, subject to applicable law. Beta, preview, and experimental features may be unstable, inaccurate, incomplete, or withdrawn without notice.
17. Support
Support may be provided at the Company’s discretion unless a separate written support agreement says otherwise. We do not guarantee response times, resolution, recovery of lost data, compatibility with all systems, bug fixes, or continued support for older versions.
18. Open-Source and Third-Party Components
The App may include third-party or open-source components subject to separate license terms. Those license terms apply only to the relevant components and do not grant rights to the proprietary portions of CogniVenue-Legal.
19. Termination
We may suspend or terminate your access if you breach these Terms, fail to pay, misuse the App, create legal/security/operational risk, violate third-party rights, attempt unauthorized access, reverse engineer the App, or if required by law, court order, platform policy, service-provider policy, licensor-rights issue, or service discontinuation.
Upon termination, your license ends immediately. Provisions relating to intellectual property, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and other provisions intended to survive shall survive termination.
20. Disclaimer of Warranties
To the maximum extent permitted by applicable law, CogniVenue-Legal is provided “AS IS,” “AS AVAILABLE,” “WITH ALL FAULTS,” and “AT YOUR OWN RISK.”
The Protected Parties disclaim all warranties, representations, guarantees, conditions, and duties, express, implied, statutory, contractual, tortious, or otherwise, including merchantability, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, completeness, reliability, availability, uninterrupted operation, error-free operation, secure operation, virus-free operation, compatibility, preservation of data, preservation of formatting or metadata, correctness of AI/OCR/search/sync/backup/export/import/audio features, and suitability for legal, professional, commercial, personal, court, evidentiary, compliance, or high-risk use.
Nothing in these Terms excludes warranties, rights, remedies, or liabilities that cannot be excluded under applicable law.
21. Limitation of Liability
To the maximum extent permitted by applicable law, the Protected Parties shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, aggravated, statutory, economic, non-economic, monetary, non-monetary, pecuniary, non-pecuniary, foreseeable, unforeseeable, known, unknown, suspected, or unsuspected loss or damage.
This includes loss of profit, revenue, business, opportunity, goodwill, reputation, clients, data, documents, annotations, evidence, metadata, legal rights, deadlines, limitation periods, privacy, confidentiality, device functionality, system access, professional standing, or any claim, penalty, litigation cost, substitute service cost, recovery cost, business interruption, adverse order, professional negligence claim, emotional distress, personal injury, or third-party claim.
This applies under contract, tort, negligence, strict liability, breach of statutory duty, warranty, misrepresentation, indemnity, restitution, equity, consumer law, data law, professional duty, or any other legal theory, even if advised of the possibility of such damages.
22. Liability Cap
To the maximum extent permitted by applicable law, the total aggregate liability of all Protected Parties for all claims relating to CogniVenue-Legal, your account, subscription, User Content, or these Terms shall not exceed the amount actually paid by you for CogniVenue-Legal during the six (6) months immediately before the event giving rise to the claim. If you paid no amount during that period, the aggregate liability shall not exceed INR 1,000.
Where applicable law does not permit this cap, liability shall be limited to the minimum amount permitted by law.
23. Developer/Licensor Protection
Unless expressly stated otherwise, any developer/licensor of the App is not the seller of subscriptions or services, does not make warranties to you, and is not responsible for payments, refunds, accounts, support, User Content, outputs, reliance, losses, or any consequence of your use or inability to use the App.
Each developer/licensor is an intended third-party beneficiary of all disclaimers, limitations, exclusions, indemnities, and protective provisions in these Terms and may enforce them where permitted by law.
24. Indemnity
You agree to indemnify, defend, and hold harmless the Protected Parties from and against all claims, demands, proceedings, damages, liabilities, penalties, losses, costs, and expenses, including reasonable legal fees, arising from your use or misuse of CogniVenue-Legal, User Content, breach of these Terms, violation of law, violation of third-party rights, reliance on outputs, professional or legal use, confidentiality/privacy breach, unauthorized account use, or disputes with clients, employers, courts, authorities, customers, colleagues, or third parties.
25. App Stores and Platforms
If you obtain CogniVenue-Legal through Apple App Store, Google Play, Microsoft Store, or another platform, that platform’s terms, billing rules, refund rules, and policies may also apply. Mandatory platform terms control only to the extent required.
26. Export and Compliance
You must not use, export, re-export, transfer, or make available CogniVenue-Legal in violation of applicable export control, sanctions, technology-control, or other laws. You represent that you are not prohibited from using the App.
27. Changes to Terms
We may update these Terms from time to time. Updated Terms may be displayed in-app, on our website, during login, during email verification, or through other reasonable means. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
28. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India, without regard to conflict-of-law principles.
To the extent permitted by applicable law, and subject to any non-waivable statutory rights, consumer protection laws, data-protection rights, app-store remedies, and other mandatory legal rights, the courts having competent territorial jurisdiction in Bokaro District, Jharkhand, India shall have exclusive jurisdiction over disputes arising out of or relating to CogniVenue-Legal or these Terms.
Nothing in this clause limits any right that an eligible consumer may have under applicable consumer protection law to approach a competent Consumer Disputes Redressal Commission or other forum where such right cannot lawfully be waived by contract.
29. Miscellaneous
If any provision is invalid or unenforceable, the remaining provisions remain effective and the invalid provision shall be interpreted to achieve the closest lawful effect. Failure to enforce any provision is not a waiver. You may not assign these Terms without consent. The Company may assign these Terms to an affiliate, successor, acquirer, or business transferee only to the extent it has the right to do so and subject to applicable law, platform rules, and licensor arrangements. We are not liable for delay or failure caused by events beyond reasonable control.
These Terms, the Privacy Policy, and any additional terms accepted by you constitute the entire agreement regarding CogniVenue-Legal.
